Cairos End User License Agreement (EULA)

Entity: [Cairos Inc., a Delaware corporation] (“Cairos,” “we,” “our”)
Product: Cairos software and services (“Cairos” or the “Service”)

1. License Grant

• Cairos grants you (“User”) a personal, limited, non-exclusive, non-transferable, revocable license to access and use Cairos as a cloud-based SaaS service, subject to this Agreement and your subscription plan.
• The license is granted per seat (individual user). Each user account must be purchased and maintained separately unless otherwise agreed in writing.
• You may use Cairos and outputs generated through Cairos for commercial and non-commercial purposes, except as expressly prohibited herein.

2. Ownership & Intellectual Property

• Cairos retains all right, title, and interest in and to the Cairos platform, its software, technology, source code, algorithms, user interface, and associated documentation.
• Except for the rights expressly granted, no rights are transferred.
• Any local Cairos components designated as open source are licensed under their respective open-source licenses, which govern your use of those components.

3. Restrictions

You may not:

• Resell, sublicense, rent, lease, or otherwise redistribute Cairos, except as expressly permitted in your plan.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of proprietary components.
• Circumvent usage limits, metering, or subscription controls.
• Use Cairos for any unlawful, infringing, or harmful purposes.
• Use Cairos to train competing AI models, scraping Cairos outputs or data.

4. Outputs & User Data

• You retain full ownership and rights to all media, renders, composites, and outputs you generate through Cairos, and you may commercialize them without restriction.
• Cairos makes no claim of ownership over user outputs.
• Cairos may collect and use telemetry, analytics, and aggregated usage data to improve the Service, consistent with our Privacy Policy.

5. Plans, Free Tier & Subscription

• Cairos offers a freemium model: up to 20 generations per month are free.
• The Pro Plan provides extended access (currently 500 generations per month) and other premium features.
• Subscription plans are billed on a recurring basis. Failure to maintain payment may result in suspension or termination of access.
• Plans may differ for indie users, studios, and enterprises. Cairos reserves the right to define eligibility for each plan.

6. Term & Termination

• This Agreement remains in effect for as long as you maintain an active subscription or free account.
• Cairos may suspend or terminate your access if you violate this Agreement.
• Upon termination, you must immediately stop accessing Cairos. Your rights in outputs created prior to termination remain unaffected.

7. Third-Party Services

• Cairos may integrate with or rely on third-party tools and plugins (e.g., Chaos Vantage, Unreal Engine, Cooke lens profiles).
• Cairos does not control or endorse these third-party products and disclaims responsibility for their performance, availability, or licensing.

8. Disclaimers

• Cairos is provided “as is” and “as available” without warranties of any kind, express or implied.
• Cairos disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

• To the maximum extent permitted by law, Cairos shall not be liable for any indirect, incidental, special, or consequential damages.
• Cairos’ total liability under this Agreement is limited to the subscription fees paid by you in the 12 months preceding the claim.

10. Governing Law & Jurisdiction

• This Agreement is governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
• Any disputes shall be resolved in the courts located in Delaware.

11. Miscellaneous

• This Agreement constitutes the entire agreement between you and Cairos.
• If any provision is held invalid, the remainder shall remain in effect.
• You may not assign or transfer this Agreement without Cairos’ prior written consent.

By signing up into the service or accessing Cairos, you agree to be bound by this EULA.
